2. Services Provided

3. Usage Restrictions — Datadini Platform

Prohibited Activities on Datadini Services

  • Using bots, data mining tools, or automated means to extract data from Datadini's platform is strictly forbidden
  • Copying, reproducing, or redistributing Datadini's content without explicit written consent
  • Reverse-engineering or attempting to access our systems without authorization
  • Engaging in any activity that disrupts or interferes with the website's normal functioning
  • Violating these restrictions may result in immediate termination and possible legal action

Our Data Collection Activities

Datadini legally collects publicly available business information from public sources, including:

  • Public company websites
  • Companies House public records
  • Other publicly accessible business directories

4. Account Creation & Management

  • Users must create an account to access specific features
  • You must provide accurate and complete information when registering
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • We reserve the right to suspend or terminate accounts that violate these terms

5. Payment, Subscriptions & Refunds

Pricing

  • All prices are displayed in GBP (£) unless otherwise stated
  • Prices are subject to change with reasonable notice

Refunds — UK Consumer Rights

In accordance with the UK Consumer Rights Act 2015:

  • You have a 14-day cooling-off period from the date of purchase
  • If you have not yet started using the service, you may receive a full refund
  • Once service has commenced, refunds are only available if:
    • The service is not as described
    • The service is faulty or does not work as promised
    • You experience a significant service failure

Subscription Services

  • Subscriptions renew automatically unless canceled
  • You can cancel at any time via your account dashboard
  • Cancellations take effect at the end of the current billing period
  • No refunds are provided for partial billing periods

Payment Processing

  • Payments are processed securely via Stripe
  • We do not store your payment card details

6. Software License (EULA)

  • Users receive a limited, non-transferable, revocable license to use Datadini's services
  • You may not modify, reverse-engineer, decompile, or redistribute the software
  • The license terminates immediately upon breach of these terms
  • All intellectual property rights remain with Datadini Ltd

7. Data Rights & Complaints

Your Rights

You have rights under GDPR and UK Data Protection Act, including:

  • Access to your data
  • Correction of inaccurate data
  • Deletion of your data
  • Objection to processing

8. Service Availability & Modifications

Service Availability

  • We aim to provide continuous service availability
  • We do not guarantee uninterrupted or error-free service
  • We may perform scheduled maintenance with reasonable notice
  • We are not liable for service interruptions beyond our control

Service Modifications

  • We reserve the right to modify, suspend, or discontinue services at any time
  • We will provide reasonable notice for material changes
  • Continued use after changes constitutes acceptance

9. Limitation of Liability

To the fullest extent permitted by UK law:

Exclusions

Datadini is not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, revenue, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content
  • Your use or inability to use the service

Cap on Liability

Our total liability to you for any claims shall not exceed the amount you paid to Datadini in the 12 months preceding the claim.

Exceptions

Nothing in these terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under UK law

10. Indemnification

You agree to indemnify and hold harmless Datadini Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your violation of these terms
  • Your violation of any law or third-party rights
  • Your use of the service
  • Your content or data submissions

11. Warranty Disclaimer

No Warranties

Datadini services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of data

Data Accuracy

While we strive for accuracy, we do not guarantee:

  • The accuracy, completeness, or timeliness of data
  • That data is free from errors or omissions
  • That defects will be corrected

You use Datadini's services at your own risk.

Effect of Termination

Upon termination:

  • Your access to services will cease immediately
  • Your data may be deleted after 30 days
  • Outstanding payments remain due
  • Sections of these terms that should survive (indemnity, limitation of liability) remain in effect

15. Governing Law & Jurisdiction

These terms are governed by the laws of England and Wales.

Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Amendments

Datadini reserves the right to modify these terms at any time.

Notice of Changes

  • Material changes will be communicated via email and website banner
  • The "Last Updated" date will be updated
  • Continued use after changes constitutes acceptance

17. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and GDPR Compliance Statement, constitute the entire agreement between you and Datadini Ltd.
